1. Agreement and who we are
bikrighor (“we”, “us”) is a commerce platform operated by Agilo IT. These Terms of Service are a binding agreement between you and us. They apply when you create an account, start a trial, build or publish a store, connect a sales channel, or otherwise use bikrighor and its websites, dashboards, storefronts and related services (the “Service”).
If you use the Service for a business, you confirm that you can bind that business to these Terms. If you do not agree, do not use the Service. These Terms work together with the Privacy Policy, Acceptable Use Policy, Refund Policy, Cookie Policy and Data Processing Addendum.
2. Accounts and teams
- You must be at least 18 years old and able to enter a contract to open an account.
- Give accurate information at sign-up and keep it current, including your email address and business details.
- You are responsible for everything done through your account and your team members’ accounts, and for keeping passwords and sessions secure. Tell us promptly at [email protected] if you suspect unauthorized access.
- The account owner decides which teammates get access and what permissions they have. We act on instructions from the owner for matters about the store.
3. The Service
bikrighor lets you build a storefront and landing pages, manage products, inventory, orders and customers, accept payments through gateways you connect, ship through couriers you connect, and talk to customers through channels you connect. We may add, change or retire features. When we retire a feature that you rely on, we will give reasonable notice.
We run the Service on a commercially reasonable basis and aim for high availability, but we do not promise it will be uninterrupted or error-free. Planned maintenance, third-party outages and events outside our control can affect it.
4. Plans, trials and billing
- Plans, prices and included limits are shown on our pricing page and in your billing settings.
- A free trial, where offered, lets you evaluate the Service. When it ends, your store moves to the plan you choose or to a limited state until you do.
- Paid plans are billed in advance for each billing period through our payment processors. Subscriptions renew automatically until cancelled. You authorize us and our processors to charge your chosen payment method.
- Some features, such as the unified inbox, are available only on certain plans. Usage limits, such as storage, apply as stated for your plan.
- Prices exclude taxes unless stated. You are responsible for taxes that apply to your purchase, other than taxes on our income.
- We may change prices or plan contents for future billing periods with at least 30 days’ notice. If you do not accept a change, you can cancel before it takes effect.
Cancellations and refunds are covered in the Refund Policy. If a payment fails we may retry it, and we may limit or suspend paid features until it is resolved.
5. Your store, your customers
You run your store. You are the seller to your customers and, as between you and us, you are solely responsible for:
- the products and services you list, their descriptions, prices, availability, quality and legality;
- fulfilling orders, handling returns and exchanges, and honoring your own refund and warranty commitments;
- collecting and paying the taxes, duties and fees that apply to your sales;
- your own customer-facing terms, privacy notice and consents, including any messaging, marketing and tracking you switch on for your store;
- complying with the consumer-protection, e-commerce, advertising and licensing laws that apply to you and your buyers.
We are not a party to the sale between you and your customers. We provide the software. We do not hold, guarantee or insure your inventory, orders, deliveries or payments.
6. Third-party services and channels
The Service connects to services we do not own: payment gateways and mobile wallets, couriers, email and SMS providers, and messaging channels such as Facebook Messenger, Instagram and WhatsApp provided by Meta. Your use of those services is governed by their own terms and policies, and you must follow them.
- Credentials. When you connect a service you authorize us to use the credentials or access tokens you provide to act on your behalf for that purpose. We store them encrypted and use them only to provide the features you turned on.
- Messaging rules. You are responsible for having the right to contact the people you message and for following the platform’s messaging windows, template and opt-in rules. Meta may restrict or suspend a channel; we are not responsible for that.
- Availability. Third-party services can change or fail. We are not liable for their acts, outages, fees or changes to their APIs.
7. Your content and our property
Your content. You keep ownership of what you upload or create in the Service: product data, images, pages, store settings, customer records and messages (“Your Content”). You give us a worldwide, non-exclusive license to host, copy, process, display and transmit Your Content only as needed to operate, secure and improve the Service for you and to comply with law. You confirm that you have the rights needed to grant this license.
Our property. We and our licensors own the Service, including software, templates, themes, block designs, the bikrighor name and logo, and documentation. You get a limited, revocable, non-transferable right to use them during your subscription. Templates remain licensed to you for use with the Service only. You may not copy, resell, reverse engineer or extract the Service, except where the law allows it despite this restriction.
Feedback. If you suggest improvements, we may use them without obligation to you.
8. Acceptable use
You must follow the Acceptable Use Policy. We may remove content, suspend a store or end an account that breaks it, puts other users or the Service at risk, or exposes us to legal liability.
9. Data protection
Our Privacy Policy explains how we handle personal data. For personal data about your customers, visitors and the people you message, you decide why and how it is used and we process it for you under the Data Processing Addendum. You are responsible for having a lawful basis for that processing and for giving your customers the notices the law requires.
10. Security and your data
We use technical and organizational measures designed to protect the Service and Your Content, described in the Data Processing Addendum. No system is completely secure. You are responsible for your own devices, passwords, team access and the credentials of services you connect. You may export your store data from the dashboard while your account is active.
11. Suspension and termination
- You can stop using the Service and cancel your subscription at any time from your billing settings.
- We may suspend or terminate your access if you materially breach these Terms, do not pay, use the Service unlawfully or in a way that harms others, or if we are required to by law or by a third-party platform. Where practical and lawful we will tell you first and give you a chance to fix the issue.
- After termination, your storefront goes offline. You will have a period of at least 30 days to export Your Content unless law or a serious breach prevents it. After that we delete or anonymize it as described in the Privacy Policy, except for records we must keep by law.
- Sections that by their nature should survive termination, such as payment obligations, liability and governing law, do.
12. Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and that the Service will meet your requirements or produce any particular sales result. Nothing in these Terms limits rights you have under law that cannot be excluded.
13. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising from your use of the Service, even if we were told it could happen.
Our total liability for all claims relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event that gave rise to the claim. These limits do not apply to liability that cannot be limited by law, such as for fraud or intentional misconduct.
14. Indemnity
You will defend and compensate us and our team against claims, losses and costs (including reasonable legal fees) brought by a third party that arise from Your Content, the goods or services you sell, your breach of these Terms or the law, or your misuse of a connected third-party service. We will tell you promptly about any such claim and cooperate reasonably.
15. Changes to these Terms
We may update these Terms. For material changes we will notify you by email or in the dashboard at least 30 days before they apply. If you keep using the Service after the effective date, you accept the updated Terms. If you do not accept them, you can cancel before then.
16. Governing law and disputes
These Terms are governed by the laws of the People’s Republic of Bangladesh. The courts of Dhaka have exclusive jurisdiction over disputes arising from them, unless a mandatory law gives you the right to bring a claim elsewhere. Before filing a claim, please contact us so we can try to resolve it informally.
17. General
- These Terms and the documents they reference are the entire agreement between you and us about the Service.
- If a provision is unenforceable, the rest stays in effect.
- Our not enforcing a right is not a waiver of it.
- You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition or sale of assets.
- We are not liable for delay or failure caused by events beyond our reasonable control.
- Notices to you go to the email on your account. Notices to us go to [email protected].
